You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (i) your violation of these Terms; (ii) your use of the Platform, including, but not limited to, your User Contributions, any use of the Platform's content, services, and products other than as expressly authorized in these Terms; (iii) your violation of the rights of any third party, including but not limited to intellectual property rights, privacy rights, or publicity rights; or (iv) any claim that your User Contributions caused damage to a third party.

14. DISPUTE RESOLUTION

14.1 Talk to us first

If something goes wrong, please contact us at [email protected] before taking any formal step. Most problems are quicker to fix by email than by anything else, and we would rather sort it out directly. Both parties agree to try in good faith to resolve any dispute this way for thirty (30) days from the date it is first raised in writing.

14.2 If that does not resolve it

Any dispute that cannot be resolved directly may be brought before the courts of England and Wales, as set out in section 16. There is no compulsory arbitration under these Terms: you are not required to give up your right to go to court, and you are not required to use any private arbitration service.

14.3 Your statutory rights

Nothing in these Terms removes or limits any right you have under law that cannot be removed or limited by agreement. If you are a consumer, your statutory rights are unaffected. If you are a business, nothing here prevents you from pursuing a claim you are otherwise entitled to bring.

15. TERM AND TERMINATION

15.1 Term

These Terms shall remain in full force and effect while you use the Platform or maintain an active account. You may terminate your account at any time, for any reason, by following the instructions for termination in your account settings or by contacting us. For Paid Subscribers, termination will be effective at the end of your current billing period, unless otherwise specified in your Subscription Agreement.

15.2 Termination by Company

We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms. If you wish to terminate your account, you may simply discontinue using the Platform or delete your account.

15.3 Effect of Termination

Upon termination of your account, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. Termination of your access to and use of the Platform shall not relieve you of any obligations arising or accruing prior to such termination or limit any liability that you otherwise may have to the Company or any third party.

15.4 Data Retention and Deletion

Following termination or deactivation of your account, we may retain information associated with your account for a commercially reasonable time for backup, archival, or audit purposes. Furthermore, the Company may retain and continue to use indefinitely all information (including User Content) contained in your communications to other Users or posted to public or semi-public areas of the Platform after termination or deactivation of your account. However, upon written request, we will make reasonable efforts to delete personal data not required to be retained by law or necessary for legitimate business purposes, as detailed in our Privacy Policy.

16. GOVERNING LAW AND JURISDICTION

16.1 Governing Law

These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of England, without giving effect to any choice or conflict of law provision or rule that would cause the application of the laws of any jurisdiction other than England.

16.2 Jurisdiction

Any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be instituted exclusively in the courts of England and Wales, and you hereby submit to the exclusive jurisdiction of those courts in any such action or proceeding.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provision shall be deleted without affecting the remaining provisions herein. The unenforceable provision shall be replaced with a valid and enforceable provision that most closely matches the intent of the original provision.

Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

17.5 Force Majeure

The Company shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or labor disputes, transportation disruptions, internet or telecommunications failures, or shortages of adequate power or transportation facilities.

17.6 Notices

Any notices or other communications provided by the Company under these Terms, including those regarding modifications to these Terms, will be given: (i) via email; or (ii) by posting to the Platform. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.

17.7 No Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or remedies upon any person or entity other than you and the Company.

17.8 Relationship of the Parties

Nothing in these Terms shall be construed as creating a partnership, employment relationship, agency relationship, or joint venture between you and the Company.

The Platform is operated from the United Kingdom and lists dental practices in the United Kingdom, Ireland, the United States, Canada, Australia, New Zealand and South Africa. Some features are available only in certain countries — surgical kits, for example, are sold to practices in the United Kingdom and Ireland only, and prices are shown and charged in pounds sterling. 20.3 Legal Compliance

You agree to use the Platform in compliance with all applicable laws, rules, and regulations, including but not limited to those related to data privacy, intellectual property, consumer protection, deceptive marketing, and export control. • Algorithmic detection of fraudulent review patterns
  • Manual review of flagged content by our moderation team

21.3 Verification Badge Program

Practices that successfully complete our comprehensive verification process may receive a "Verified" badge on their profile. This badge indicates that the Practice has met our verification standards but does not constitute an endorsement of the Practice's services, quality, or outcomes. The verification badge may be revoked at any time if a Practice fails to maintain compliance with our verification standards or violates these Terms.

21.4 Ongoing Monitoring

We conduct periodic re-verification of Practice information to ensure continued accuracy and compliance. Practices are required to promptly update their profile information if there are material changes to their practice, including but not limited to changes in location, practitioners, services offered, or regulatory status. Failure to maintain accurate information may result in removal of verification status, reduced visibility, or account suspension.

You waive any rights to compensation or attribution related to our use of your feedback.

25.4 Discontinuation

We may discontinue Beta Features at any time without notice. We make no promise or guarantee that Beta Features will be completed or that they will be released in a generally available version. If a Beta Feature is discontinued, access to and use of that feature will terminate, and we may delete any data or content associated with it.
